Research Summary

In many companies, employees are often not considered as company assets, and therefore, their role is not given much importance in the progress of the company. However, with the development of time, employees are now seen as company assets, and there is a growing trend in various companies to include employees in share ownership through Employee Stock Ownership Programs (ESOPs). With this, employees feel they are part of the company. Article 43 Paragraph (3) letter a of Law No. 40 of 2007 concerning Limited Liability Companies (“Company Law”) essentially states that the company can offer shares to its employees. However, there is no obligation for companies to include their employees in share ownership according to the Company Law.

The research addresses two main issues regarding share ownership in companies for employees: (1) the urgency of regulating the company’s policy on employees’ participation in share ownership, and (2) the legal consequences if employees who own shares are terminated or leave the company. This research utilizes a normative juridical method and analyzes both secondary and primary data qualitatively.

In general, it can be concluded that there are still many obstacles in terms of employees wanting to be included in company ownership, as according to the laws and regulations, employee share ownership is not mandatory but rather an initiative that must come from employee associations or unions. Furthermore, there are legal consequences for employees facing termination from the company, such as whether they can continue to retain their shares in the company or need to sell their shares.
